These Terms and Conditions ("Terms") form a binding agreement between you ("you," "Customer," or "User") and Product Specialists Ltd ("OmniYou," "we," "us," or "our"), operator of omniyou.io and the OmniYou platform. By accessing the site, submitting an application, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
If you accept on behalf of an organization, you represent that you are authorized to bind it.
Entity disambiguation. OmniYou is an AI twin platform. We are not affiliated with any DNA, genetic, or ancestry-testing company using a similar name.
1. Agreement to these terms
These Terms and Conditions ("Terms") form a binding agreement between you ("you," "Customer," or "User") and Product Specialists Ltd ("OmniYou," "we," "us," or "our"), operator of omniyou.io and the OmniYou platform. By accessing the site, submitting an application, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
If you accept on behalf of an organization, you represent that you are authorized to bind it.

2. Definitions
- Services — the OmniYou platform and all related products, including OmniSelf™ and OmniVoice™, the website, APIs, and onboarding services.
- Twin — the AI representation we configure for you, which extends your reach. A Twin does not replace you and is not a person.
- OmniSelf™ — the visual and voice AI twin that generates content.
- OmniVoice™ — AI voice/text replies delivered across connected channels.
- Customer Content — materials you provide, including methodology, documents, voice recordings, images, and video.
- Twin Output — content generated by your Twin.
- Connected Channels — third-party platforms you link (e.g., WhatsApp, Instagram, Telegram, Slack).
3. Eligibility and application
The Services are for business and professional use by users 18 or older. Access is by application. We operate a selective intake and may decline any application at our discretion, including to maintain product quality and fit. Submitting an application does not guarantee acceptance or create any obligation on our part to provide the Services.
4. Accounts and security
You must provide accurate information, keep your credentials confidential, and are responsible for activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or pose a security or legal risk.
5. The Services
We will provide the Services described in your order or onboarding documentation, which may include Twin setup, methodology training, and delivery across Connected Channels. We may modify, improve, or discontinue features over time. The Services rely on third-party AI providers and platforms (see Section 12), and certain functionality depends on the continued availability of those providers.
6. Fees, billing, and subscriptions
- Pricing. Pricing is provided individually following a fit-call application and is set out in your order, proposal, or invoice. Public list pricing is not published.
- Billing. Fees are billed on the cadence stated in your order. Unless stated otherwise, fees are non-refundable and exclusive of taxes, which you are responsible for.
- Payment. You authorize us and our payment processor to charge your chosen payment method. Late or failed payments may result in suspension.
- Changes. We may change fees on renewal with prior notice as stated in your order.
7. Customer Content — license to operate your Twin
You retain ownership of your Customer Content. You grant OmniYou a worldwide, non-exclusive, royalty-free license to host, process, reproduce, adapt, and use Customer Content solely to provide, train, operate, secure, and improve the Services for you, and as instructed by you. We do not use your Customer Content to train general-purpose models for other customers or third parties.
You represent and warrant that you own or have all rights, consents, and licenses necessary to provide the Customer Content and to authorize the uses above, and that the Customer Content does not infringe any third party's rights or violate any law.
8. Voice and likeness license and consent
This section governs the creation of your synthetic voice and visual likeness.
- Your consent. By submitting voice recordings, images, or video, you give your explicit, informed consent to create and operate a synthetic voice and/or visual likeness representing you, and you authorize our sub-processors (including ElevenLabs) to generate and host the relevant models for your account.
- Your ownership and control. As between you and OmniYou, you retain rights in your voice and likeness. We use them only to operate your Twin and will cease use and delete the models on termination or valid request, per the Privacy Policy.
- Third-party identities prohibited. You may not submit the voice, image, name, or likeness of any other living or deceased person without their (or their estate's) verifiable, documented consent and all rights required by law. You will indemnify us for any breach (Section 16).
- No deceptive or unlawful use. You may not use a Twin to impersonate others, misrepresent that Twin Output is human-produced where disclosure is legally required, create deceptive deepfakes, or otherwise deceive, defraud, or harm.
- Withdrawal of consent. You may withdraw consent to voice/likeness processing at any time; doing so may prevent us from continuing to provide the Twin.
9. Twin Output — nature, accuracy, and ownership
- AI-generated. Twin Output is produced by AI systems. It may be inaccurate, outdated, biased, or unsuitable. You are responsible for reviewing Twin Output before relying on or publishing it.
- No professional advice. Twin Output is not legal, medical, financial, psychological, therapeutic, or other professional advice, and no professional relationship is created. A coaching or expert Twin does not replace qualified professional judgment. You must not present Twin Output as such advice unless you are independently qualified and accept responsibility for it.
- Ownership of Output. Subject to your payment of fees and to third-party AI providers' terms, as between you and OmniYou you own the Twin Output relating to your Twin. You are responsible for how you use it.
- No guarantee of results. We do not warrant any particular business, conversion, revenue, or performance outcome from using the Services.
10. Acceptable use
You agree not to, and not to permit others to:
- use the Services unlawfully or to violate any third party's rights;
- create or operate a Twin of any person without proper rights and consent;
- generate content that is defamatory, harassing, deceptive, fraudulent, infringing, hateful, sexually exploitative of minors, or otherwise prohibited;
- impersonate any person or entity or misrepresent your affiliation;
- send messages through Connected Channels without the consents required by applicable law and platform policies (see Section 12);
- reverse engineer, scrape, or circumvent technical or security measures;
- resell, sublicense, or provide the Services to third parties except as expressly permitted in your order; or
- interfere with the integrity or performance of the Services.
We may investigate and take action, including suspension, removal of content, and termination.
11. Customers who process other people's data
If you use OmniVoice or OmniSelf to communicate with or process data about your own leads, clients, or community members, you are the controller of that data and OmniYou is your processor / service provider. You are responsible for having a lawful basis, providing required notices, obtaining required consents (including messaging consent), and honouring opt-outs and data-subject requests. Our processing of such data is governed by these Terms and our Data Processing Addendum, which is incorporated by reference where applicable.
12. Third-party platforms, APIs, and providers
The Services integrate with and depend on third parties, including OpenAI, ElevenLabs, Meta Platforms (including the Instagram API and WhatsApp Business API), Google, Microsoft, LinkedIn, X, Reddit, and TikTok. Your use of Connected Channels is also subject to those providers' own terms and policies, and you agree to comply with them. We are not responsible for third-party services, and changes, outages, or restrictions by those providers may affect the Services.
13. Intellectual property
The Services, including the OmniYou, OmniSelf, OmniVoice, OmniCoach, and OmniCreator names and marks, the software, templates, and all related IP, are owned by OmniYou or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services per these Terms. No other rights are granted. You may not use our marks without prior written permission.
14. Confidentiality
Each party may receive confidential information of the other. The receiving party will protect it with reasonable care, use it only to perform under these Terms, and not disclose it except to those who need it and are bound by similar obligations, or as required by law.
15. Disclaimers
THE SERVICES AND TWIN OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNIYOU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT TWIN OUTPUT WILL BE ACCURATE OR SUITABLE, OR THAT THE SERVICES WILL ACHIEVE ANY PARTICULAR RESULT.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- OMNIYOU WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICES.
- OMNIYOU'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO OMNIYOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in those, the limitations apply to the fullest extent permitted.
17. Indemnification
You will defend, indemnify, and hold harmless OmniYou and its officers, employees, and agents from any claims, damages, liabilities, and reasonable costs (including legal fees) arising out of: (a) your Customer Content; (b) your use of the Services; (c) your violation of these Terms or applicable law; (d) your communications through Connected Channels; or (e) your submission or use of any voice, image, or likeness without proper rights and consent.
18. Term, suspension, and termination
These Terms apply while you use the Services. Either party may terminate as set out in your order. We may suspend or terminate immediately for breach, non-payment, legal risk, or misuse. On termination: your license to use the Services ends; we will, on request, delete or return Customer Content and delete your voice/likeness models and Twin per the Privacy Policy (subject to legal retention); and accrued fees remain payable. Sections that by nature should survive (including 7–9, 13–17, and 19) survive termination.
19. Governing law and dispute resolution
These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts of England and Wales, except that either party may seek injunctive relief for IP or confidentiality breaches.
20. Changes to these terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide additional notice. Continued use after changes take effect constitutes acceptance.
21. General
These Terms (with the Privacy Policy, any order, and any DPA) are the entire agreement between us. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. Nothing creates a partnership, agency, or employment relationship.
